If an employee or director finds that they might be involved in a conflict of interest they promptly makes all facts known to the Executive Director and refrain from any exercise of responsibility in any manner reasonably considered to be affected by such adverse interest. Any possible conflict of interest on the part of any employee or board member are disclosed to the board. When any conflict of interest becomes a matter of board action, such member shall not vote or use personal influence on the matter. |
CEO executive director top management comp Part VI line 15a | The personnel committee, which is made up of 2 - 3 board members, conducts a performance review on the Executive Directors (ED) work and accomplishments and based on their review the organization sets the EDs compensation. Members of the Executive Committee, 2-3 board members, assess the performance and compensation of the Executive Director on an annual basis. The committee assess performance against goals and expectations, reviews the relative competitive position within the market and the industry and makes adjustments as they see fit. The last Executive Director review was conducted June 2016. It is the responsibility of the Executive Director to assess performance and compensation relative to market standards for all staff members on an annual basis. |
