Form 990, Part VI, Line 1a Delegate broad authority to a committee The board of directors shall have an Executive Committee. The Executive Committee shall be composed of the Chair, Vice Chair, Secretary, and Treasurer; the Chair may also appoint an at-large director and the immediate past Chair to serve on the Executive Committee. The Chair shall preside at the Executive Committee meetings. Between meetings of the board of directors, the Executive Committee shall have and exercise all the authority of the board of directors in the management of affairs of the corporation, except as limited by the bylaws.
Form 990, Part VI, Line 11b Review of form 990 by governing body Accounting staff prepare the Form 990. The Chief Financial and Operations Officer reviews and confirms all amounts with the books and records of the foundation. Subsequently, a third-party accounting firm, reviews the Form 990 for completeness and accuracy.
Form 990, Part VI, Line 12c Conflict of interest policy Board members and staff receive copies of the Foundation's conflict of interest policy and confirm in writing that they have read the policy and understand it. All officers, directors and highly compensated employees complete disclosure statements each year regarding business transactions and grants made in the year. Upon disclosure of a potential conflict members of the board or committee who are not interested persons shall decide if a conflict exists and appropriately address the issue.
Form 990, Part VI, Line 15a Process to establish compensation of top management official The Board of Directors sets the salary of the Foundation's CEO. The Board reviews the CEO's salary annually. In setting the CEO's salary, the Board reviews salaries and benefits of similar positions nationally and locally. Information reviewed includes survey data and Forms 990 of similar organizations. The Board's process and decision regarding CEO's salary is documented in the Board minutes. During 2020, a comprehensive compensation review of the CEO's salary was performed and shared with the Executive Committee of the Board.
Form 990, Part VI, Line 15b Process to establish compensation of other employees The Board of Directors is responsible for the setting the salaries of all OCF employees, including officers and highly compensated employees. The Board reviews salaries annually. In setting salaries and determining salary adjustments, OCF utilizes a third-party consultant to perform equal pay analyses annually and is in compliance with the Oregon Equal Pay Law and related laws and provisions.
