FORM 990, PART VI, SECTION B, LINE 12C THE FOUNDATION HAS EACH BOARD MEMBER COMPLETE A CONFLICT OF INTEREST QUESTIONNAIRE EACH YEAR. WHEN A POTENTIAL CONFLICT IS IDENTIFIED, IT IS DISCLOSED TO THE FOUNDATION'S OUTSIDE LEGAL COUNSEL FOR REVIEW. LEGAL COUNSEL MAKES A DETERMINATION IF THERE IS TRULY A CONFLICT, AND IF SO, WHAT THE REMEDY SHOULD BE. THE FOUNDATION'S MANAGEMENT COMPLIES BY FOLLOWING THE GUIDANCE OF OUR OUTSIDE LEGAL COUNSEL.
FORM 990, PART VI, SECTION B, LINE 15 CEO- THE BOARD CHAIR OBTAINS FEEDBACK REGARDING THE CEO PERFORMANCE. DURING THE SECOND QUARTER OF THE YEAR, THE BOARD CHAIR ALSO OBTAINS COMPARATIVE CEO SALARY INFORMATION, COMPENSATION HISTORY, AND ANY PERKS AND BENEFITS INFORMATION FROM THE ORGANIZATION'S CFO. THE EXECUTIVE COMMITTEE REVIEWS THIS INFORMATION AND RECOMMENDS AN APPROPRIATE COMPENSATION PACKAGE TO THE BOARD CHAIR. THE BOARD CHAIR TAKES INTO ACCOUNT THE RECOMMENDATION OF THE EXECUTIVE COMMITTEE AND PRESENTS THE COMPENSATION PACKAGE TO THE CEO. THE BOARD CHAIR THEN NOTIFIES THE CFO OF THE NEW CEO PACKAGE TO GO INTO EFFECT JUNE 1 OF EACH YEAR. OFFICERS- EACH FALL, AN OPERATING BUDGET IS DEVELOPED THAT INCLUDES RECOMMENDED SALARY AND BENEFITS INCREASES FOR OFFICERS. THE BUDGET IS SUBMITTED TO THE BOARD'S FINANCE AND AUDIT COMMITTEE, ALONG WITH ANNUAL COMPETITIVE SALARY INFORMATION. THE FINANCE AND AUDIT COMMITTEE REVIEWS THE INFORMATION AND MAKES A RECOMMENDATION TO THE FULL BOARD TO EITHER ACCEPT THE PROPOSED EXECUTIVE COMPENSATION LEVELS IN THE BUDGET FOR THE NEXT YEAR OR TO MODIFY IT. THE BOARD DECIDES WHETHER TO ACCEPT THE RECOMMENDATION OR MAKE CHANGES AT ITS ANNUAL DECEMBER BOARD MEETING. ANNUAL CHANGES TO COMPENSATION GO INTO EFFECT ON MARCH 1 OF EACH YEAR.
