FORM 990, PART VI, SECTION B, LINE 12C LSC REGULARLY AND CONSISTENTLY MONITORS AND ENFORCES COMPLIANCE WITH ITS CONFLICT OF INTEREST POLICY BY DISTRIBUTING ITS CONFLICT OF INTEREST POLICY TO ALL OFFICERS, DIRECTORS, AND EMPLOYEES AND ASKING THEM TO SIGN A WRITTEN ACKNOWLEDGEMENT OF RECEIPT; TRAINING OFFICERS, DIRECTORS, AND EMPLOYEES ON THE POLICY AS A PART OF ROUTINE ONBOARDING ACTIVITIES AND PERIODICALLY THEREAFTER; ASKING DIRECTORS TO DISCLOSE, ON AN ANNUAL BASIS, ANY RELATIONSHIPS THEY HAVE WITH PEOPLE DOING BUSINESS WITH THE ORGANIZATION THAT COULD GIVE RISE TO A CONFLICT OF INTEREST; ASKING DIRECTORS TO CERTIFY, ON AN ANNUAL BASIS, THAT THEY HAVE NO ACTUAL OR POTENTIAL CONFLICT OF INTEREST TO REPORT; AND REQUIRING OFFICERS, DIRECTORS, AND EMPLOYEES TO DISCLOSE POTENTIAL CONFLICTS THAT ARISE DURING THE COURSE OF BUSINESS AND TO RECUSE THEMSELVES FROM PARTICIPATING IN ANY MEETING OR DECISION RELATING TO A TRANSACTION IN WHICH THEY ARE POTENTIALLY CONFLICTED.
FORM 990, PART VI, SECTION B, LINE 15 LSC'S EXECUTIVE COMPENSATION IS CAPPED BY STATUTE AND LSC'S PROCESS FOR SETTING ITS PRESIDENT'S AND OFFICERS' COMPENSATION WITHIN THAT CAP INCLUDES A REVIEW BY INDEPENDENT PERSONS, COMPARABILITY DATA, AND CONTEMPORANEOUS DELIBERATION AND DECISION. THE LSC ACT (42 U.S.C. 2996 ET SEQ.) AND LSC'S ANNUAL FEDERAL APPROPRIATION ACTS TOGETHER AUTHORIZE LSC TO PAY ITS PRESIDENT A BASE SALARY NOT TO EXCEED LEVEL V OF THE RATES OF BASIC PAY FOR FEDERAL EXECUTIVE SCHEDULE EMPLOYEES ($161,700 IN 2021), PLUS THE FEDERAL DC METRO AREA LOCALITY PAY RATE (30.48% OF BASE PAY, OR $49,286, IN 2021). THE LSC ACT, AS WELL AS LSC'S BYLAWS, ALSO LIMIT LSC OFFICER PAY TO THE EXECUTIVE SCHEDULE LEVEL V RATE PLUS THE DC METRO AREA LOCALITY PAY RATE. PER LSC'S BYLAWS, THE LSC PRESIDENT SETS OFFICER COMPENSATION (WITHIN THE STATUTORY CAP) IN CONSULTATION WITH THE LSC BOARD OF DIRECTORS. LSC'S INTERNAL POLICY FOR MANY YEARS HAS CAPPED OFFICERS' COMPENSATION AT 97% OF THE PRESIDENT'S COMPENSATION A POLICY THAT LSC'S INDEPENDENT COMPENSATION FIRM, QUATT & ASSOCIATES, REVIEWED BEFORE IT WAS MOST RECENTLY APPROVED BY THE LSC BOARD OF DIRECTORS IN MARCH 2021.
