Form 990, Part III, Line 4d Description of other program services (Expenses $ 842,410,575 including grants of $ 165,965,381)(Revenue $ 705,580,592) All Other Hospital Services With a history dating back to 1869, The Nebraska Medical Center (TNMC) was formed with the merging of Bishop Clarkson Memorial Hospital and University Hospital. In July 2016, UNMC Physicians' outpatient clinics became part of the organization. TNMC continues to attract patients from the region and around the world. TNMC is a tertiary/quaternary academic medical center. It is the largest health care facility in the State of Nebraska with more than 10,000 employees and over 900 physicians practicing in all major specialties and sub-specialties. In addition to key services in cardiology, oncology, transplant, and neurology, TNMC offers comprehensive care in women's services for obstetrics and gynecology, as well as pediatric services, orthopedics, rheumatology, and pulmonary care. TNMC has one of the region's largest hyperbaric medicine programs, and it is the most esteemed academic health system in the region with 809 licensed beds at its two hospitals, Nebraska Medicine - Nebraska Medical Center and Nebraska Medicine - Bellevue. TNMC also operates forty specialty and primary care clinics in Omaha, NE and the surrounding area. TNMC has one of the few biocontainment units in the country equipped to safely care for those exposed to highly contagious, dangerous diseases. In 2014, the Nebraska Biocontainment Unit was activated to provide care for three Americans that contracted the Ebola virus during the West Africa outbreak. This response resulted in TNMC and University of Nebraska Medical Center (UNMC) becoming one of three designated Ebola treatment and education centers in the country. Throughout the last decade, biocontainment unit staff have continued to educate public health and infectious disease teams from around the world about safe protocols and responses to infectious diseases, most recently COVID-19. TNMC was one of the first to care for exposed and infected Americans in early 2020, and it continues to be a world leader in treating and mitigating the virus more than two years into the pandemic. The organization continues to strive toward its mission to lead the world in transforming lives to create a healthy future for all individuals and communities through premier educational programs, innovative research, and extraordinary patient care. This was demonstrated through a variety of activities throughout fiscal year 2021, as well as the health system emerging as a local, regional, and national leader in the response to the COVID-19 pandemic. The following efforts continued as a result of the COVID-19 pandemic: * Inpatient and outpatient clinical care for patients affected by COVID-19 * Universal masking and personal protective equipment policies for staff and patients * Required COVID-19 vaccination for staff * Partnership with Douglas County Health Department to administer the first vaccines in 2020 to high-risk patients as authorized by the Food and Drug Administration, expanding to include all adults, as approved * Conducting outreach and providing monoclonal antibody infusions to patients infected with COVID-19 at highest risk of serious disease or complications * Utilization of E-visits and video visits through an online patient portal and patient-facing mobile app. This allows for increased access and includes primary, specialty, and immediate care appointments. * Establishment of post-covid clinic, first treating employees and family members; then expanding to patients affected by long COVID-19 symptoms * Creation of training materials through the Global Center for Health Safety * Providing training and education for health care workers through National Emerging Special Pathogens Training and Education (NETEC) * Conducting and participating in clinical trials * Serving as a community and national expert through news, social media, and community outreach Additional highlights from the year included: * Creation of an Office of Inclusion and Diversity, including the hiring of the first Chief Diversity and Inclusion officer * Groundbreaking on new patient centered medical home clinic in Millard, NE * Beginning of expansion and construction of new medical office building at Village Pointe Health Center in West Omaha, NE, increasing services and access for patients * Expansion of Fast Pass Program, which allows patients to be notified of appointment cancellations and be seen by providers as openings are available * First in the nation to place a megatron stent, which reduces the need for heart bypass surgery in select cardiology patients * Initial planning begins for innovation design unit, a patient care unit that will be used to pilot innovative care delivery and technology In fiscal year 2021, TNMC earned the following: * U.S. News and World Report recognition as one of the best hospitals, rated #1 in the Omaha, NE metro and the State of Nebraska; high performing in five adult specialties and ten procedures and conditions * Named one of the top ten trusted health systems by the American Hospital Association * Received EHealthcare's top honor, Mark Gothberg Organizational Commitment Award, as well as four platinum awards for outstanding communication during the COVID-19 pandemic * Recognized by Forbes as one of the top ten best employers in Nebraska for the third year in a row * Training magazine's top 100 companies for training programs award * Newsweek's World's Best Hospitals 2021 Ranking #49 on the list of best hospital in the United States
Form 990, Part III, Line 4d Description of other program services (Expenses $ 136,228,474 including grants of $ 26,838,707)(Revenue $ 180,330,746) Digestive Disease and Kidney Service Line The Nebraska Medical Center (TNMC) operates one of the busiest solid organ transplant programs in the world. In 2016, TNMC joined a small number of transplant centers which have programs for transplants of all solid organs. TNMC's lung transplant program did its first transplant in February 2016, and five lung transplants were performed during 2021. In the year ended June 30, 2021, TNMC performed 321 solid organ transplants including liver, kidney, heart, lung, pancreas, and small bowel. The success of TNMC's solid organ transplant program is heightened by research done on the TNMC/University of Nebraska Medical Center (UNMC) campuses. Since its inception, patients have come to TNMC for single or multiple organ transplants from all fifty states and five continents.

The compensation committee is responsible for overseeing the performance and compensation of the CEO, assessing the appropriateness and reasonableness of the executive compensation and benefit programs, and monitoring compensation programs with senior executives and physicians to confirm compliance with regulations and business need. The committee reviews all proposed compensation for senior executives and physicians, including the CEO. All compensation submitted for review must be supported by appropriate documentation, including, but not limited to, comparability data (I.E., Association of American Medical Colleges (AAMC)) relevant for the occupation and corporation position. This data is compared to similarly situated AAMC organizations of comparable revenue. The executive compensation data is provided by an independent compensation consulting firm hired by the committee, and this firm reports directly to the committee. The committee ensures that its review and approval qualify for the rebuttable presumption of reasonableness under the intermediate sanction's regulations (26 C.F.R. 53.4958-6, as amended). To ensure such compliance, the committee: 1. Ensures committee members are free from any relationships or conflicts of interest that may impair, or appear to impair, a committee member's ability to make independent judgements; 2.
