Return Reference Explanation
Part I, Line 3 The Boston Foundation's standing Compensation Committee, which includes the Board Chair as an Ex-Officio member, is governed by a formal charter and follows the Boston Foundation's formal total compensation strategy. The total compensation strategy requires the Boston Foundation to retain the services of an independent compensation specialist to survey salaries and compensation of comparable positions within local and national peer organizations. The specialist submits a formal report to the Compensation Committee. Guided by the report, the Compensation Committee recommends compensation for the President and CEO for the upcoming fiscal year. The Compensation Committee then reports to the full Board, which votes to ratify the actions taken by the Compensation Committee, including the recommended compensation.
Part I, Line 4b George C. Wilson and Alfred Van Ranst participated in a Supplemental Employee Retirement Plan (SERP). The total SERP contributions for the above participants for the calendar year ended December 31, 2020 were as follows: Taxable Non-Taxable George C. Wilson $ 20,619 $13,421 Alfred Van Ranst $ 30,626 $19,095
Part I, Line 7 Bonuses are given to the President and CEO at the discretion of the Compensation Committee and to other employees at the discretion of the President and CEO.
