Return Reference Explanation
Form 990, Part VI, Section B, line 11b The CFO, with input from senior management, compiles the information to be included in the Federal Form 990 and the Massachusetts Form PC, which are then prepared by TBF and reviewed by TBF's tax advisors. The completed returns are presented to the Audit Committee, which includes the Board Chair as an Ex-Officio member, and whose duties are governed by a formal charter, for review and formal approval. Complete copies of the returns are distributed to all voting members of the Board of Directors for their review and comment in advance of the returns being filed. The Audit Committee also reports to the full Board, which votes to ratify the actions taken by the Audit Committee, including the approval of the returns. Copies of the returns are made available publicly on the Boston Foundation website.
Form 990, Part VI, Section B, line 12c The Boston Foundation has established a formal conflict of interest and duality of interest policy and a code of business conduct and ethics. Copies of these policies and TBF's confidentiality policy and conflict of interest disclosure statement are required to be reviewed and completed by all new directors and employees. Annually, the Boston Foundation sends the policies and disclosure statements to all current directors, as well as anyone who has served as a director in the previous five years. These annual mailings also include a list of the Boston Foundation's significant vendors and investment managers. In addition, key employees, as well as anyone who has served as a key employee in the previous five years, are also sent the disclosure form and policies. Whenever a matter comes before the Board or a Committee, any person whose presence may create the appearance of a potential conflict of interest is required to recuse themselves and leave the meeting until the discussion regarding the matter and any related votes have concluded. Employees are sent all grant dockets and asked to identify any potential apparent conflicts of interest. Employees are required to refrain from involvement in any matters in which there exists a potential or apparent conflict of interest.
Form 990, Part VI, Section B, line 15 The Boston Foundation's standing Compensation Committee, which includes the Board Chair as an Ex-Officio member, is governed by a formal charter and follows the Boston Foundation's formal total compensation strategy. The total compensation strategy requires the Boston Foundation to retain the services of an independent compensation specialist to survey salaries and compensation of comparable positions of the President & CEO within local and national peer organizations. The specialist submits a formal report to the Compensation Committee. Guided by the report, the Compensation Committee recommends compensation for the President & CEO for the upcoming fiscal year. The Compensation Committee then reports to the full Board, which votes to ratify the actions taken by the Compensation Committee, including the recommended compensation.
