The Board, by resolution adopted by a majority of the members present at a meeting at which a quorum is present, may designate members to constitute an executive committee and other committees, each of which, to the extent authorized by law, the articles of incorporation (as amended), or these bylaws (as amended) and provided in such resolution, shall have and may exercise all of the authority of the board. The designation of any committee and the delegation thereto of authority shall not operate to relieve the board, or any member thereof, of any responsibility or liability imposed upon it or him law, the articles of incorporation (as amended), or these bylaws (as amended). The board of directors shall have the power at any time to discharge, change the membership or authority of, or fill vacancies in, any such committee. Written minutes of all proceedings of any such committee shall be kept and made available upon request to each director. |
