The designation of any committee and the delegation thereto of authority shall not operate to relieve the board, or any member thereof, of any responsibility or liability imposed upon it or him law, the articles of incorporation (as amended), or these bylaws (as amended). The board of directors shall have the power at any time to discharge, change the membership or authority of, or fill vacancies in, any such committee. Written minutes of all proceedings of any such committee shall be kept and made available upon request to each director. |
