Form 990, Part I, Line 12 The COVID-19 pandemic has caused an ongoing increase in food insecurity statewide beginning March 2020. As a result, The Idaho Foodbank saw donations and grants rise during the prior year as people, businesses, and foundations recognized the increasing crisis in their communities. As the pandemic declined, a similar decline in revenues and donations occurred in the current year, and we are still showing about a 15% increase in revenue from pre-pandemic years due to continued contributions and grants.
Form 990, Part I, Line 18 As the Organization saw a decrease in revenue due to the decline of the COVID-19 pandemic, a related decrease in expenditures occurred as well. The main source of the decrease in expenditures is a slight decrease in the volume of food distributed during the COVID-19 pandemic that was a big part of the prior fiscal year.
Form 990, Part VI, Section A, Line 1a The governing body of the Organization delegates broad authority to act on its behalf to the Executive Committee. The Executive Committee is comprised of the Chair, Chair Elect, Treasurer, Secretary, and Past Chair. All members of the Executive Committee are on the board.
Form 990, Part VI, Section B, Line 11b Before it is filed, the form is sent electronically in PDF format to all Board Members. They review the document in its entirety, and communicate back to the President & CEO that they have completed the review, and approve its filing along with any points of concern.
Form 990, Part VI, Section B, Line 12c New Board Members are presented with the Conflict of Interest Statement during the Board Member orientation process, which must be signed upon election to the board. All Board Members must sign a new Conflict of Interest Statement yearly at the annual board meeting. In the event of a possible conflict when voting, the Board Member shall disclose and abstain from the discussions and voting. The Employee Handbook includes a Conflict of Interest section which is reviewed upon employment and is signed by the employee as acceptance of the policy. The Leadership Team of The Idaho Foodbank also sign an annual Conflict of Interest Statement. Both policies are monitored by the Organization's leadership team on an ongoing basis.
Form 990, Part VI, Section B, Line 15 The Board of Directors' Executive Committee independently decides the compensation of the President & CEO on a yearly basis. The last review was February 2022. The Executive Committee also review compensation recommendations from the President & CEO for the remaining Leadership Team members using market comparison data, and makes final decisions for any changes. They provide written authorization of any changes, and their decisions are reflected in the Executive Committee meeting minutes.
