THESE ARRANGEMENTS WERE REVIEWED BY THE FINANCE AND AUDIT COMMITTEE OF THE BOARD OF TRUSTEES AND WERE DETERMINED TO BE FAIR AND REASONABLE AND IN THE BEST INTERESTS OF BOSTON COLLEGE. IN ACCORDANCE WITH THE BOSTON COLLEGE CONFLICT OF INTEREST POLICY, THE RELATED TRUSTEE RECUSED HIMSELF FROM ALL DECISION MAKING ON THESE MATTERS.
