PART IV, SECTION A, LINE 1 THE CERTIFICATE OF INCORPORATION STATES THAT THE CORPORATION WAS ORGANIZED TO FACILITATE THE OPERATIONS AND MAINTENANCE OF A PUBLIC SCHOOL UNDER A CHARTER GRANTED BY THE STATE OF NEW JERSEY, TO PERFORM FINANCING AND OTHER FUNDRAISING ACTIVITIES FOR A CHARTER SCHOOL, AND TO PROVIDE FINANCIAL AND OTHER ADMINISTRATIVE SUPPORT. THE FRIENDS ACQUIRED FINANCING AND RAISED SUBSTANTIAL CONTRIBUTIONS TO ACQUIRE A SCHOOL BUILDING THAT IS USED EXCLUSIVELY FOR THE HOBOKEN CHARTER SCHOOL. THE FRIENDS ADOPTED "HOBOKEN CHARTER SCHOOL" IN ITS ORGANIZATION DOCUMENTS AND SHARES SPACE IN THE SAME BUILDING. ON ITS APPLICATION FOR TAX EXEMPT STATUS, FORM 1023, ITS OPERATIONS WERE VERY SPECIFIC THAT THE CORPORATION WAS FORMED TO ENGAGE IN FUNDRAISING ACTIVITIES TO BENEFIT THE HOBOKEN CHARTER SCHOOL. THE RELATIONSHIP BETWEEN THE TWO ORGANIZATIONS CONTINUES TO DATE.
PART IV, SECTION E, LINE 2A THE CORPORATION HOLDS TITLE TO A SCHOOL BUILDING THAT IS USED EXCLUSIVELY BY THE HOBOKEN CHARTER SCHOOL. DUE TO THE CHARTER GRANTED TO THE SCHOOL, THEY WERE UNABLE TO OBTAIN THE FINANCING TO ACQUIRE A SCHOOL BUILDING. THE FRIENDS WERE ABLE TO OBTAIN A MORTGAGE THROUGH THE NEW JERSEY COMMUNITY CAPITAL. THEY ALSO, THROUGH THEIR FUNDRAISING EFFORTS, RECEIVED CONTRIBUTIONS TO HELP OFFSET THE COST OF ACQUIRING THE FACILITY. AFTER A FIRE DESTROYED THE SCHOOL, THE FRIENDS AGAIN RAISED CONTRIBUTIONS AND OBTAINED A LINE OF CREDIT TO PAY FOR THE FIRE RENOVATIONS IN ADDITION TO THE INSURANCE PROCEEDS THAT WERE OBTAINED. HOLDING TITLE TO THE SCHOOL BUILDING THAT IS USED FOR THE HOBOKEN CHARTER SCHOOL MEETS THE DIRECT FURTHERANCE ACTIVITIES OF THE SUPPORTED ORGANIZATION. THE REVENUES AND EXPENSES OF PROVIDING A SCHOOL FACILITY REPRESENTS OVER 89% OF THE ACTIVITIES OF THE ORGANIZAITON. IN ADDITION, THE FRIENDS RAISED CONTRIBUTIONS AND FUNDS TO PROVIDE SOCIAL, EDUCATIONAL AND OTHER PROGRAMS FOR THE BENEFIT OF THE STUDENTS, TEACHERS AND STAFF OF THE HOBOKEN CHARTER SCHOOL. ALL OF THE ACTIVITIES ARE IN DIRECT AND INDIRECT SUPPORT OF THE SUPPORTED ORGANIZATION.
PART IV, SECTION E, LINE 2B THE HOBOKEN CHARTER SCHOOL IS ALSO A 501 (C)(3) ORGANIZATION AND WOULD HAVE NORMALLY BEEN ABLE TO OBTAIN THE NECESSARY FINANCING TO ACQUIRE A SCHOOL BUILDING. HOWEVER, BECAUSE OF THE NEW JERSEY DEPARTMENT OF EDUCATION RULES AND REGULATIONS, THE PURCHASE OF THE BUILDING AND THE FINANCING WERE MADE THROUGH THE SUPPORTING ORGANIZATION, FRIENDS OF HOBOKEN CHARTER SCHOOL.
SUPPLEMENTAL INFORMATION THE ORGANIZATION PROVIDED THE FOLLOWING SUPPORT TO THE HOBOKEN CHARTER SCHOOL, INC CONTRIBUTION 50,000 SCHOOL SOCIAL FUNCTIONS 2,250 TEACHER EXPENSES 6,878 TOTAL SUPPORT 59,128 IN ADDITION,THE ORGANIZATION USED DONATIONS, INSURANCE PROCEEDS, AND LOANS FOR ADDITIONAL SCHOOL RENOVATIONS AFTER THE FIRE FOR A TOTAL OF 151,268 IN THE FISCAL YEAR THAT ENDED JUNE 30, 2014 AND 20,613 FOR OUTDOOR BASEKBALL COURT & EQUIPMENT IN THE FISCAL YEAR THAT ENDED JUNE 30, 2017. ON JUNE 12, 2017 THE FRIENDS ORGANIZATION ENTERED INTO AN AGREEMENT OF SALE TO PURCHASE ADDITIONAL REAL ESTATE IN HOBOKEN NEW JERSEY THAT IS TO BE RENOVATED AS A HIGH SCHOOL FOR THE STUDENTS OF THE HOBOKEN CHARTER SCHOOL, THAT HAVE BEEN DISPLACED FROM THEIR CURRENT LOCATION. THE HIGH SCHOOL STUDENTS WERE EDUCATED IN TWO (2) TEMPORARY LOCALTIONS IN HOBOKEN, NJ. ON THE EXECUTION OF THE AGREEMENT, THE FRIENDS PAID 50,000 INTO AN ESCROW ACCOUNT HELD BY THE ATTORNEY. THE TOTAL PURCHASE PRICE WILL BE IN EXCESS OF 2 MILLION DOLLARS. THE FRIENDS AT JUNE 30, 2017 PAID 15,200 IN CONNECTION WITH LEGAL, ARCHITECT, ENGINEERING AND ENVIROMENTAL COSTS. THE CASH ON HAND WILL BE USED TO PAY FOR SOFT COSTS FOR ZONING AND HISTORICAL APPROVALS AND HIRING CONTRACTORS. THE FRIENDS WILL ALSO OBTAIN ADDITIONAL FINANCING TO ACQUIRE THE BUILDNG AND A CONSTRUCTION LOAN FOR THE RENOVATIONS. PER AGREEMENT BETWEEN THE BOARD OF THE FRIENDS OF HOBOKEN CHARTER SCHOOL (FOHCS) AND HOBOKEN CHARTER SCHOOL (HCS), FOHCS DID NOT MAKE A DIRECT MONETARY CONTRIBUTION TO HCS DURING THE FISCAL YEAR ENDING JUNE 30, 2017 AND IN SUBSEQUENT YEARS IN ORDER TO PRESERVE CAPITAL TO ENABLE FOHCS TO PURCHASE AND BEGIN RENOVATIONS ON A NEW SCHOOL BUILDING FOR THE BENEFIT OF THE HCS HIGH SCHOOL AS WELL AS REFINANCE THE EXISTING MORTGAGE ON THE HCS PRIMARY SCHOOL BUILDING DURING THE FISCAL YEAR ENDING JUNE 30, 2018. THE FRIENDS AT JUNE 30, 2018 PAID 213,282 IN CONNECTION WITH LEGAL, ARCHITECT, VARIANCE APPLICATIONS, ENGINEERING, ENVIROMENTAL, SITE REVIEW AND LOAN CLOSING COSTS FOR THE REFINANCING EXISTING MORTGAGE AND OBTAIN CONSTRUCTION FINANCING. IN AUGUST 2018, THE ADDITIONAL FINANCING WAS OBTAINED AND THE FRIENDS ACQUIRED AN ADDITIONAL BUILDING THAT WILL BE RENOVATE AS THE HOBOKEN CHARTER SCHOOL HIGH SCHOOL. THE FRIENDS AT JUNE 30, 2019 PAID IN 509,090 IN CONSTRUCTION COSTS TO BUILD THE NEW HIGH SCHOOL FACILITY. THE FRIENDS AT JUNE 30, 2020 PAID IN AN ADDITIONAL 1,746,057 IN CONSTRUCTION COSTS TO BUILD THE NEW HIGH SCHOOL FACILITY. THE FRIENDS AT JUNE 30, 2021 PAID IN AN ADDITIONAL 1,436,209 IN CONSTRUCTION COSTS TO BUILD THE NEW HIGH SCHOOL FACILTIY. THE FRIENDS AT JUNE 30, 2022 PAID IN FINAL CONSTRUCTONS COSTS OF 149,550 TO COMPLETE THE BUILDING OF THE NEW HIGH SCHOOL FACILITY.
